I. Terms and Conditions of Service

1. Acceptance of Terms

By accessing or using wocoventures.com, navsaricorp.com, sutraone.com, or the SutraOne mobile application (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

SutraOne provides user accounts, organizational tools, community features, a secure digital vault ("Tijori"), and optional sharing capabilities. All tools and outputs are provided for informational, utility, and general-use purposes only.

We make no guarantee regarding the performance, output, accuracy, or results of any tool or feature (collectively, "Tools"). You are solely responsible for verifying the accuracy of any output and for any actions or decisions you make based on the Services.

3. User Responsibilities

You agree to:

Provide accurate and complete registration information.
Maintain the confidentiality of your login credentials.
Use the Services only for lawful purposes.
Verify the accuracy of any data, output, or results generated by the Tools.
Maintain independent backups of any critical or irreplaceable files.

SutraOne and Woco Ventures LLC are not responsible for unauthorized access resulting from weak passwords, device compromise, credential sharing, or failure to secure your account.

4. Organization Accounts & Member Data

4.1 Organization Accounts

Organizations using SutraOne may upload, store, and manage information about their members, employees, volunteers, or participants ("Member Data").

4.2 Ownership & Control

The Organization is the sole owner and controller of all Member Data it uploads or manages.
SutraOne and Woco Ventures LLC act only as a service provider and do not control, verify, or monitor Member Data.

4.3 Organization Responsibilities

The Organization is fully responsible for ensuring that:

Member Data is collected and processed lawfully.
Members have been informed of how their data will be used.
Any required consents have been obtained.
Uploading Member Data to SutraOne complies with all applicable laws and regulations.
Access permissions and roles are properly configured and managed.

4.4 No Liability for Member Data

SutraOne and Woco Ventures LLC are not responsible for:

The accuracy, completeness, or legality of Member Data.
Loss, corruption, or unauthorized access to Member Data caused by the Organization's configuration, sharing, or misuse.
Any disputes between the Organization and its members, employees, or other data subjects.

5. Tijori Digital Vault

5.1 Nature of the Service

Tijori is a secure digital vault feature within SutraOne that allows users to store and optionally share documents, files, and other digital content.

5.2 No Guarantee of Data Integrity or Availability

SutraOne, Woco Ventures LLC, and their officers, employees, agents, contractors, and affiliates do not guarantee the permanent availability, integrity, accuracy, or recoverability of any data stored within Tijori. Users acknowledge that data loss, corruption, unauthorized access, system failures, or other technical issues may occur despite reasonable security and operational safeguards.

Users are solely responsible for maintaining independent backups of any critical, sensitive, or irreplaceable files. Tijori is not intended to be the sole repository for essential documents.

5.3 User-Initiated Sharing

Tijori includes the ability for users to intentionally share selected content with trusted parties such as family members, attorneys, advisors, or other SutraOne users. All sharing actions are initiated solely by the vault creator.

SutraOne and Woco Ventures LLC are not responsible for any consequences arising from shared access, including but not limited to misuse, disclosure, forwarding, alteration, or further distribution of shared content by recipients.

6. Disclaimer of Warranties

THE WEBSITE, APPLICATIONS, AND SERVICES, INCLUDING ALL TOOLS, CONTENT, AND FUNCTIONALITY THEREOF, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WOCO VENTURES LLC AND NAVSARI CORPORATION DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.

WOCO VENTURES LLC DOES NOT WARRANT THAT: (a) THE TOOLS OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE TOOLS OR SERVICES WILL BE ACCURATE OR RELIABLE; OR (c) ANY ERRORS, BUGS, OR DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

IN NO EVENT SHALL WOCO VENTURES LLC, NAVSARI CORPORATION, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, INCLUDING THE TOOLS AND TIJORI; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS, ACCOUNT, OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF WOCO VENTURES LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100.00) OR THE AMOUNT YOU PAID WOCO VENTURES LLC, IF ANY, IN THE PAST SIX (6) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Woco Ventures LLC, Navsari Corporation, and their officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

(i) your use of and access to the Services, including any data or work generated by the Tools or stored in Tijori; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You agree to submit to the exclusive personal jurisdiction of the federal and state courts located in San Diego County, California, for the purpose of litigating all disputes.

II. Privacy Policy

1. Data Collection & Use

1.1 Personal Data

We collect information you provide directly, including:

Name
Email address
Phone number
Authentication data (e.g., OTP, TOTP, 2FA)
Organization affiliation (if applicable)

This information is used to:

Create and manage your account
Authenticate your identity
Deliver subscribed services and updates
Provide customer support
Maintain security and prevent fraud

We do not sell your personal data to third parties for marketing purposes.

1.2 Tijori Content

Content stored in Tijori is encrypted and user-controlled. We do not access, view, or use the contents of Tijori except where required by law or to maintain system integrity. We process only the metadata necessary to operate Tijori, such as storage size, timestamps, and sharing permissions. No Tijori content is used for analytics, advertising, or profiling.

1.3 Organization Member Data

When Organizations use SutraOne to store or manage Member Data, we process such data solely on behalf of the Organization. The Organization is responsible for providing appropriate privacy notices and obtaining any required consents from its members.

2. Telephonic Communication Agreement (SMS/Calls)

By opting in, you authorize SutraOne / Woco Ventures LLC to send recurring automated marketing and informational text messages (SMS) and calls to the number provided.

Consent is not a condition of purchase.
Message frequency varies.
Message and data rates may apply.
You may opt out at any time by replying STOP to any message.
For support, reply HELP.
Essential security messages (such as One-Time Passwords) will still be sent as part of account protection and cannot be disabled.

We use the information you provide solely for:

Sending material, information, and updates related to our products and services.
Delivering transactional or relationship-based messages (e.g., order confirmations, security alerts).
Responding to your inquiries and providing customer support.

3. Account Deletion & Data Retention

3.1 Account Deletion Process

You may disable your account via your Profile settings using OTP verification.

Accounts are fully disabled within ten (10) business days.
You will be unsubscribed from all marketing services and communications.
You will receive a final confirmation via your registered email and mobile phone.
A 72-hour grace period is provided during which you may re-enable your account by logging back in. After this window, the deletion process becomes final, subject to legal data retention obligations.

3.2 Data Retention & Legal Exceptions

Per California tax regulations and federal audit requirements, financial transaction data and necessary identifying records are retained for up to seven (7) years.

If you request account deletion, we will:

Deactivate your active account and unsubscribe you from all marketing communications.
Delete all personal data not required for legal compliance (such as your profile photo, preferences, or browsing history) within the 72-hour grace period after deactivation.
Securely archive your transaction records and necessary identifying information (e.g., name, purchase history, and tax-related details) solely for the purpose of meeting our legal and regulatory obligations. This archived data will not be used for any other purpose and will be permanently destroyed once the applicable legal retention period has expired.

4. Your Rights

4.1 California (CCPA/CPRA)

Under California law, you have the right to:

Know what personal information we collect, use, and retain.
Access your personal information.
Request correction of inaccurate information.
Request deletion of your personal information, subject to legal retention exceptions.

Depending on your jurisdiction, you may have rights to:

Access your data

III. Global Compliance Addenda

1. GDPR (UK & EU) Compliance Statement

For users located in the United Kingdom or European Union:

SutraOne / Woco Ventures LLC acts as a Data Controller for account information.
SutraOne acts as a Data Processor for Tijori content and Organization Member Data.

We:

Process personal data only for specified, explicit, and legitimate purposes.
Implement appropriate technical and organizational measures to protect personal data.
Do not use Tijori content for automated decision-making or profiling.
Support GDPR rights (access, rectification, erasure, restriction, portability, objection).
Use appropriate safeguards (such as Standard Contractual Clauses) for cross-border data transfers.

2. India DPDP Act (PDPA) Compliance Statement

For users located in India:

Organizations using SutraOne act as Data Fiduciaries for Member Data.
SutraOne acts as a Data Processor for such data and for Tijori content.

We:

Process personal data only for lawful purposes related to account management, authentication, and service delivery.
Implement reasonable security safeguards to prevent unauthorized access, use, or disclosure.
Delete or return personal data upon request, subject to legal retention requirements.

Users and Organizations are responsible for ensuring that any personal data they upload or share complies with their obligations under the DPDP Act.

3. Australia & New Zealand Compliance

For users located in Australia and New Zealand:

We comply with the Australian Privacy Principles (APPs) and the New Zealand Privacy Act 2020 (NZPA) as applicable.
We practice data minimization and limit use of personal data to the purposes for which it was collected.
We provide mechanisms for users to access and correct their personal information.
Cross-border disclosures are made with appropriate safeguards.

IV. In-App Warnings (Recommended Text)

These are short notices you can display in the app:

1. Upload Warning

"Reminder: Tijori is a secure storage feature, but no system is perfect. Please keep independent backups of important files. By uploading content, you agree that SutraOne is not responsible for data loss or corruption."

2. Sharing Warning

"Before you share: Once you share a file, the recipient may view, download, or forward it. SutraOne cannot control or revoke what others do with shared content. Share only with people you trust."

3. Organization Admin Warning

"As an Organization administrator, you are responsible for ensuring that you have the right to upload and manage Member Data in SutraOne and that your use complies with applicable laws."

V. Security Statement

SutraOne uses industry-standard encryption, secure authentication, and access controls to protect user accounts, Tijori content, and Member Data. However, no system is completely immune to failure or breach. Users and Organizations are responsible for maintaining secure devices, using strong passwords, and managing access appropriately.
